AUDIT AND COMPLIANCE COMMITTEE REPORT*
The Board of Directors has ultimate authority and responsibility for effective corporate governance, including the role of
oversight of the management of JGWPT. The Audit and Compliance Committee’s purpose is to assist the Board of Directors in
fulfilling its responsibilities to the Company and its stockholders by overseeing the accounting and financial reporting processes of
JGWPT, the audits of JGWPT’s consolidated financial statements and the qualifications, selection and performance of the Company’s
independent registered public accounting firm.
The Audit and Compliance Committee reviews our financial reporting process on behalf of the Board. The Audit and Compliance
Committee relies on the expertise and knowledge of management and the independent auditor in carrying out its oversight
responsibilities. Management has the primary responsibility for establishing and maintaining effective systems of internal and
disclosure controls, for preparing financial statements, and for the public reporting process. Ernst & Young LLP, JGWPT’s
independent registered public accounting firm for 2013, is responsible for expressing opinions on the conformity of the company’s
audited financial statements with generally accepted accounting principles.
With respect to the fiscal year ended December 31, 2013, the Audit and Compliance Committee, among other things: oversaw the
integrity of the Company’s financial statements and financial reporting processes, reviewed the external auditors’ qualifications and
independence (including auditor rotation), and evaluated the external auditors’ performance.
The Audit and Compliance Committee has reviewed and discussed with management and Ernst & Young LLP the audited
consolidated financial statements for the year ended December 31, 2013. The Audit and Compliance Committee also discussed with
Ernst & Young LLP the matters required to be discussed pursuant to Auditing Standard No. 16 (Communication with Audit
Committees), as adopted by the Public Company Accounting Oversight Board. In addition, the Audit and Compliance Committee has
received from Ernst & Young LLP the written disclosures and letter required by the applicable requirements of the Public Company
Accounting Oversight Board regarding Ernst & Young LLP’s communications with the Audit and Compliance Committee concerning
independence, and the Audit and Compliance Committee has had discussions with Ernst & Young LLP regarding its independence
from the Company and its management.
Based on the reviews and discussions described above, the Audit and Compliance Committee recommended to our Board of
Directors, and the Board of Directors approved, inclusion of the audited consolidated financial statements for the fiscal year ended
December 31, 2013 in our Annual Report on Form 10-K for 2013 for filing with the SEC. The Audit and Compliance Committee and
the Board of Directors have selected Ernst & Young LLP as the company’s independent accountant for fiscal 2013.
